1. Acceptance of Terms

Welcome to Wiscademy ("Company," "we," "us," or "our"). By accessing or using the Wiscademy website located at www.wiscademy.com (the "Site"), our mobile apps (the "App"), or any of our courses, content, or services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms").

These Terms apply to the Site and the App alike. Where a rule applies to only one of them — mainly around payments and refunds, because app stores impose their own — we say which.

If you do not agree to these Terms, please do not use our Services.

2. About Wiscademy

Wiscademy is an e-learning platform offering courses related to the National Professional Practice Examination (NPPE), the Fundamentals of Engineering (FE) exam, Continuing Professional Development (CPD) for Canadian engineers, and other professional development content. It is available on the web at wiscademy.com and as a mobile app. Our Services are intended for users in Canada, though access from other jurisdictions is permitted where local laws allow.

3. Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You are capable of forming a binding contract
• You will provide accurate, current, and complete information
• Your use of the Services complies with all applicable laws

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Immediately notify us of any unauthorized use
• Accept responsibility for all activities under your account

4.2 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, including:

• Sharing account credentials with others
• Attempting to bypass course access restrictions
• Engaging in fraudulent or abusive behavior

5. Course Enrollment and Access

5.1 How Courses Are Bought

Wiscademy does not sell subscriptions. Courses are unlocked with Wiscademy Coins, which you buy in advance and spend whenever you choose. There is no recurring charge and nothing to cancel — you are never billed unless you buy Coins.

When you unlock a course, you receive a non-exclusive, non-transferable, revocable license to access the course materials for personal, non-commercial use. This license does not transfer ownership of the intellectual property.

5.2 Access Period

• Unlocked courses: lifetime access, meaning for as long as the course remains on our platform and your account is open
• We reserve the right to update, modify, or retire courses with reasonable notice

5.3 Sharing and Transfer

You may not:

• Share your account or course access with others
• Sell, transfer, or assign your course access
• Download, reproduce, or distribute course content (except where download features are explicitly provided)

6. Payments and Refunds

6.1 Pricing and Currency

The price you pay is always shown before you confirm a purchase. Read it there rather than relying on a figure quoted elsewhere, because the currency depends on where you are buying:

• On the website, prices are charged in the currency shown at checkout.
• In the app, Google Play converts our price into your local currency and applies local taxes. The amount Play shows you may therefore differ from the website's figure for the same item, and in many countries it includes sales tax where our website price does not. Play's figure is the amount you will actually be charged.

We may change pricing with reasonable notice. Changes never affect a purchase already made.

6.2 Payment Processing

Payments on the website are processed by Stripe. Purchases in the Android app are processed by Google Play, through our purchase intermediary RevenueCat. By making a purchase you agree to the relevant processor's terms as well as these Terms. We never receive or store your card details.

6.3 Refund Policy

Purchases made in the app are handled by Google. Google Play's refund policy applies to them, and those requests go through Google Play rather than through us.

For Coins bought on the website, we will refund Coins you have not spent, within 14 days of buying them. Write to [email protected] and tell us which purchase.

If you have already spent the Coins on a course, write to us anyway. We look at those individually — how much of the course you have worked through matters, and so does why you are asking.

Nothing in this section limits any non-waivable right you have under the Ontario Consumer Protection Act, 2002 or other applicable consumer protection law.

6.4 Chargebacks

If you believe a charge is wrong, contact us at [email protected] first. If you initiate a chargeback without doing so, we may suspend your account and pursue collection of the original charge.

6.5 Wiscademy Coins

Wiscademy Coins are a prepaid credit used to unlock courses inside Wiscademy. Buying Coins is a purchase of digital content, not a deposit of money with us.

• Coins can be spent only within Wiscademy, on courses and other content we offer for Coins.
• Coins have no cash value. They cannot be withdrawn, exchanged for money, transferred to another account, or sold.
• Coins do not expire while your account is open. They are lost when your account is deleted, so spend them first if you are leaving.
• Refunds for Coins are covered by section 6.3 above.
• We may give Coins away — for example as a signup bonus or a promotion. Gifted Coins work exactly like bought ones, except that they are not refundable, since nothing was paid for them, and we may withdraw them if they were issued in error or obtained by abusing a promotion.
• Because Coins are bought in advance and spent later, there is no subscription, no renewal and no recurring charge anywhere in Wiscademy.

7. Intellectual Property

7.1 Our Content

All content on Wiscademy, including but not limited to:

• Video lessons and transcripts
• Course materials, slides, and notes
• Quizzes and assessments
• Blog posts and articles
• Logos, graphics, and design elements

is owned by Wiscademy or our licensors and is protected by Canadian and international copyright laws.

7.2 User Content

By posting comments, questions, or other content on our platform, you grant us a non-exclusive, royalty-free license to use, reproduce, and display that content in connection with our Services. You retain ownership of your original content.

7.3 Prohibited Conduct

You may not:

• Copy, reproduce, or distribute our content without permission
• Create derivative works based on our courses
• Use our content to create competing products
• Remove copyright or proprietary notices

8. User Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Use bots, scrapers, or automated tools to extract content
• Interfere with other users' enjoyment of the Services

9. Certification and Exam Preparation

9.1 No Guarantee of Exam Results

Wiscademy provides educational content to help you prepare for professional exams, including the NPPE. However, we do not guarantee that you will pass any exam, obtain licensure, or meet specific regulatory requirements. Your exam results depend on many factors beyond our control, including your own preparation, test-taking ability, and the specific exam version.

9.2 Regulatory Changes

While we strive to keep our content current with regulatory requirements, professional regulations change. You are responsible for verifying current requirements with your provincial engineering association.

9.3 CPD Accreditation

We indicate which courses count toward CPD requirements for specific provinces. However, final determination of CPD eligibility rests with your provincial association. We recommend verifying with your association before relying on our courses for compliance.

10. Third-Party Links

Our Services may contain links to third-party websites or services. We do not control and are not responsible for:

• The content or accuracy of third-party sites
• Their privacy practices
• Any products or services they offer

Accessing third-party sites is at your own risk.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
• DEFECTS WILL BE CORRECTED
• THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• COURSE CONTENT WILL MEET YOUR SPECIFIC REQUIREMENTS

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL WISCADEMY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Wiscademy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any third-party rights
• Your violation of applicable laws

14. Termination

We may terminate or suspend your account and access to Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Services ceases immediately
• You remain responsible for any outstanding payments
• Sections regarding intellectual property, disclaimers, and limitations of liability survive

You can delete your account yourself at any time — on the website under Settings, or in the app under Settings → Delete Account. Deletion is scheduled rather than immediate, and signing in again cancels it; our Privacy Policy explains how that works and what is kept afterwards. Unspent Wiscademy Coins are lost on deletion.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought exclusively in the courts of Toronto, Ontario.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

16.2 Binding Arbitration

If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to binding arbitration under the rules of the ADR Institute of Canada. The arbitration shall be conducted in Toronto, Ontario.

16.3 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized access.

17. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by:

• Posting the new Terms on this page
• Sending an email to the address associated with your account
• Displaying a notice on our website

Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wiscademy regarding your use of the Services, superseding any prior agreements.
